(Nasdaq: CNTG) (“Centogene” or the “Company”), a commercial-stage company focused on rare diseases that transforms real-world clinical and genetic data into actionable information for patients, physicians, and pharmaceutical companies, announced today the pricing of its primary and secondary public offering of 3,500,000 common shares of the Company, consisting of 2,000,000 common shares offered by the Company and 1,500,000 common shares offered by selling shareholders at price to the public of $14.00 per common share for total gross proceeds to the Company of $28 million and total gross proceeds to the selling shareholders of $21 million. The Company will not receive any proceeds from the sale of common shares by the selling shareholders. In addition, the selling shareholders have granted the underwriters a 30-day option to purchase up to an additional 525,000 common shares at the public offering price, less underwriting discounts and commissions.
The offering is expected to close on or about July 14, 2020, subject to customary closing conditions.
Credit Suisse and SVB Leerink are acting as joint book-running managers for the offering, with Baird, BTIG and Kempen & Co acting as co-managers.
Centogene intends to use the net proceeds of the offering for research and development to support orphan drug development with its knowledge-driven information platform, as well as for working capital and other general corporate purposes. A portion of the net proceeds may also be used to acquire or invest in complementary businesses, assets or technologies.
